14 May 2009 Subject: To Report Board of Directors' Meeting No. 2/2009's Resolution Attention: Director and Manager of Stock Exchange of Thailand Further to the Board of Directors' Meeting No. 2/2552 held on 13 May 2009, the Company would like to report the relevant Board's resolutions as follows: 1. Approved the change in scope of work of the Audit Committee as per the announcement by SET. The details are shown in the Report on Names of Members and Scope of Work of the Audit Committee (F24-1) 2. Approved the issuance and offering Warrants to purchase ordinary shares of Tirathai Public Company Limited No.1 (ESOP) for the amount of 10,132,000 units to Directors and Employees of the company to be on 1 October 2009 at price of 0.00 Baht per unit. The exercise ratio is 1 unit of ESOP's warrant, having right to purchase 1 new ordinary share at exercise price of 3.00 Baht per share. The last exercise date will be on 30 September 2011. 3. Approved the issuance and offering Warrants to purchase ordinary shares of Tirathai Public Company Limited No.1 (TRT-W1) on 28 May 2009 with the total amount of not exceed 67,547,500 units at price of 0.00 Baht per unit to the existing shareholders of the Company at a ratio of 3 existing ordinary shares per 1 unit of TRT-W1 warrant. The exercise ratio is 1 unit of TRT-W1's warrant, having right to purchase 1 new ordinary share at exercise price of 3.00 Baht per share. The record date for eligible shareholders who have the right to receive TRT-W1 warrants will be on 28 May 2009 and the book closing date for collecting the name of shareholders according to Securities and Exchange Act Section 225 will be on 29 May 2009. The last exercise date will be on 27 May 2011. 4. Approved the appointment of Thailand Securities Depository Company Limited as the company's Registrar of TRT-W1 warrants.
